1. Acceptance of Terms

5.4 Portfolio Usage
ZetaRise Solutions may use completed projects in our portfolio and marketing materials unless explicitly restricted in the project agreement.
6. Payment Terms
6.1 Pricing and Fees
- All prices are quoted in Indian Rupees (INR) unless otherwise specified
- Prices are subject to change with 30 days' notice for ongoing services
- Custom project pricing will be provided in detailed proposals
- Additional work outside the agreed scope will be charged separately
6.2 Payment Schedule
Standard payment terms:
- Project-based work: 50% upfront, 50% upon completion
- Ongoing services: Monthly billing in advance
- Large projects: Milestone-based payments as agreed
- Rush orders: 100% payment in advance
6.3 Late Payments
Late payment terms:
- Invoices are due within 30 days of issuance
- Late fees of 1.5% per month may apply to overdue amounts
- Services may be suspended for accounts 60+ days overdue
- Collection costs will be added to delinquent accounts
6.4 Refunds and Cancellations
Refund policy:
- Refunds are considered on a case-by-case basis
- No refunds for completed work or services rendered
- Cancellation fees may apply for terminated projects
- Refund requests must be made in writing
7. Project Terms and Delivery
7.1 Project Scope
- All projects will have clearly defined scope and deliverables
- Scope changes require written approval and may affect timeline and cost
- We will provide regular progress updates throughout the project
- Client approval is required at designated milestones
7.2 Timelines and Delivery
- Project timelines are estimates based on current information
- Delays caused by client feedback or changes may extend delivery dates
- Force majeure events may impact delivery schedules
- We will communicate any potential delays as soon as possible
7.3 Revisions and Changes
- Minor revisions are included within the agreed scope
- Major changes or additional features will be quoted separately
- Unlimited revision packages are subject to fair use policies
- Change requests must be submitted in writing
7.4 Testing and Acceptance
- All deliverables undergo internal testing before delivery
- Clients have 7 days to report any issues after delivery
- Issues reported after acceptance period may incur additional charges
- Final acceptance constitutes completion of the project
8. Warranties and Disclaimers

- Services will be performed with professional skill and care
- Deliverables will substantially conform to agreed specifications

8.2 Disclaimer of Warranties
Except as expressly stated, we provide services "as is" without warranty of any kind, including:
- No guarantee of specific business results or outcomes
- No warranty regarding third-party integrations or services
- No guarantee of uninterrupted or error-free operation
- No warranty regarding future compatibility or updates
8.3 Client Warranties
Clients warrant that:
- They have authority to enter into this agreement
- All provided content and materials are legally owned or licensed
- Use of our services will not violate any laws or third-party rights
- All information provided is accurate and complete
9. Limitation of Liability
9.1 Limitation of Damages
To the maximum extent permitted by law, ZetaRise Solutions' total liability for any claims arising from or related to these terms or our services shall not exceed the total amount paid by the client in the 12 months preceding the claim.
9.2 Exclusion of Damages
In no event shall ZetaRise Solutions be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from third-party actions or services
- Damages beyond our reasonable control
- Damages resulting from client's misuse of deliverables
9.3 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, government actions, internet outages, or other force majeure events.
10. Confidentiality
10.1 Mutual Confidentiality
Both parties agree to:
- Maintain confidentiality of proprietary information
- Use confidential information solely for the intended project
- Not disclose confidential information to third parties
- Return or destroy confidential materials upon request
10.2 Exceptions
Confidentiality obligations do not apply to information that:
- Is publicly available or becomes public through no fault of the receiving party
- Was known prior to disclosure
- Is independently developed without use of confidential information
- Must be disclosed by law or court order
10.3 Duration
Confidentiality obligations survive termination of this agreement and remain in effect for 5 years unless otherwise agreed in writing.
11. Termination
11.1 Termination for Convenience
Either party may terminate ongoing services with 30 days' written notice. Project-based work may be terminated subject to completion of current milestones and payment for work performed.
11.2 Termination for Cause
Either party may terminate immediately for:
- Material breach of these terms
- Non-payment of fees (after 60-day grace period)
- Insolvency or bankruptcy proceedings
- Violation of confidentiality obligations
11.3 Effect of Termination
Upon termination:
- All outstanding fees become immediately due
- Each party retains its respective intellectual property
- Confidentiality obligations survive termination
- We will provide completed work upon full payment
12. Dispute Resolution
12.1 Good Faith Negotiation
Parties agree to attempt to resolve disputes through good faith negotiation before pursuing formal proceedings.
12.2 Mediation
If negotiation fails, disputes shall be submitted to mediation by a mutually agreed mediator before proceeding to arbitration or litigation.
12.3 Arbitration
Disputes not resolved through mediation may be submitted to binding arbitration in accordance with applicable arbitration rules and procedures.
12.4 Limitation Period
Any claims must be brought within one (1) year after the cause of action accrues, or such claim shall be forever barred.
13. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any legal proceedings shall be conducted in courts having jurisdiction in Bangalore, Karnataka, India.
14. Modifications to Terms
14.1 Updates
We may update these Terms of Service from time to time. Updated terms will be posted on our website with the revision date.
14.2 Notice
Significant changes will be communicated via email or website notice at least 30 days before taking effect.
14.3 Continued Use
Continued use of our services after changes become effective constitutes acceptance of the updated terms.
14.4 Existing Agreements
Changes to these terms do not affect existing signed project agreements unless specifically amended.
